Businessman Marcos Lamacchia is preparing to acquire 90% of Vasco da Gama's football SAF through a newly structured company, Almirante S.A.

Businessman Marcos Lamacchia is planning to take control of the football structure of Vasco da Gama. Preparations for the deal have been underway for over two years, with the operation conducted by Almirante Participações e Empreendimentos S.A., a company specifically formed to represent the investor in negotiations with the club.
The proposal involves the acquisition of 90% of the future SAF (Sociedade Anônima do Futebol) for an estimated R$ 2 billion. The assets of José Roberto Lamacchia, father of Marcos and owner of Crefisa, serve as a guarantee for the financial commitment.
A core component of the operation is the creation of a 'UPI Equity' (Isolated Productive Unit). This mechanism, provided for in the club's judicial recovery plan, allows for the grouping of football-related assets into a new entity. This structure aims to provide greater legal security for the buyer, as the acquisition would be made through this new corporate structure rather than directly from the existing SAF, which is currently involved in judicial disputes.
Lamacchia intends to participate in the process as a 'stalking horse bidder'. In this model, the businessman presents the first binding offer, establishing a floor price for the auction. This ensures a competitive process where other investors can bid higher, ultimately aiming to maximize the return for the club.
The conclusion of the deal currently depends on resolving judicial disputes regarding the club's governance. Once settled, the transaction will require approval from the Council of Benefactors, the Deliberative Council, the General Assembly of Members, and the judge overseeing the judicial recovery process.
